These Terms of Service ("Terms") govern your access to and use of the website growthforgeai.org and the services provided by Growth Forge AI ("Growth Forge AI," "we," "us," or "our"). By accessing our website, purchasing our services, or using our tools, you ("Client," "you," or "your") agree to these Terms.

Please read these Terms carefully. They include an arbitration agreement and a class-action waiver (Section 14), which affect how disputes are resolved.

If you do not agree to these Terms, do not use our website or services.

1. Overview of Services

Growth Forge AI provides AI-powered services for businesses, including but not limited to:

AI Receptionist — automated answering, texting, and appointment booking.

AI Google Reviews — automated review requests and reputation tools.

Reactivation AI — automated follow-up with past or inactive leads.

Together, these are the "Services." The specific services, features, and fees that apply to you are described in your order form, proposal, or written agreement with us ("Order"). If an Order conflicts with these Terms, the Order controls for that Client.

2. Eligibility

To use the Services, you must:

Be at least 18 years old;

Use the Services for business purposes only (the Services are not intended for personal or household use); and

Be legally able to enter into a binding contract.

The Services are offered only where lawful. You are responsible for ensuring that your use of the Services is legal in your location.

3. Accounts and Access

You are responsible for keeping your account credentials secure and for all activity that occurs under your account. Notify us promptly at [email protected] if you suspect unauthorized use. We are not liable for losses caused by unauthorized use of your account.

4. Payment Terms

Fees. Our Services may be billed as one-time setup fees, recurring subscriptions, performance-based fees, or a combination, as set out in your Order.

Billing. Fees are billed directly by us and/or processed through our platform provider (GoHighLevel) and its payment processor. You authorize us to charge your chosen payment method for all applicable fees.

Free test period. We may offer a free test period of up to two (2) weeks. If you do not cancel before the test period ends, paid fees will begin according to your Order.

Subscriptions and renewals. Subscriptions automatically renew for successive periods unless cancelled before the renewal date. You may cancel a subscription at any time; cancellation takes effect at the end of the current billing period.

No refunds. Except where required by law, all fees are non-refundable, including for partial periods, unused services, or after the free test period ends.

Late or failed payment. If payment fails or is overdue, we may suspend or terminate your access until payment is received.

Taxes. You are responsible for any taxes associated with your purchase, except taxes on our net income.

5. Client Responsibilities

You agree to:

Use the Services lawfully and in accordance with these Terms;

Provide accurate information and keep it up to date;

Obtain all required consents from your leads, contacts, and customers before we contact them on your behalf, including consent to receive calls and text messages; and

Comply with all laws that apply to your business and your communications, including the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and other telemarketing, messaging, and data-protection laws.

You are solely responsible for the messages, calls, and communications sent on your behalf through the Services and for having the legal right to contact your recipients.

6. Prohibited Uses

You may not use the Services to:

Violate any law or regulation;

Send spam or unsolicited communications, or contact people who have not consented to be contacted;

Harass, defraud, deceive, impersonate, or mislead any person;

Generate or distribute unlawful, harmful, or infringing content;

Infringe the intellectual property or privacy rights of others;

Scrape, reverse-engineer, copy, resell, sublicense, or white-label the Services without our written permission;

Introduce malware or attempt to gain unauthorized access to our systems;

Overload, disrupt, or abuse the Services or any connected systems or APIs; or

Use the Services in any way that could damage our reputation or that of our providers.

We may investigate and take action, including suspension or termination, for any suspected violation.

7. Intellectual Property

Our property. We own all rights to the Services, including our software, platform, systems, prompts, templates, workflows, designs, and branding ("Growth Forge AI Property"). Nothing in these Terms transfers ownership of Growth Forge AI Property to you. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription.

Your content. You retain ownership of the content, data, and materials you provide to us ("Client Content"). You grant us a license to use Client Content as needed to provide and improve the Services.

AI outputs. As between you and us, you own the AI-generated outputs created specifically for your business through the Services (for example, messages sent to your leads), subject to your compliance with these Terms. You are responsible for how those outputs are used.

8. AI Services Disclaimer

You understand and agree that:

AI can make mistakes. AI-generated responses, bookings, and messages may be inaccurate, incomplete, or unexpected. AI is a tool, not a guaranteed outcome.

You must review AI outputs. You are responsible for monitoring and reviewing the AI's activity and for any messages, appointments, or actions taken on your behalf.

No guaranteed results. We do not guarantee any specific number of leads, bookings, sales, reviews, or revenue. Any figures shown on our website (including calculators or examples) are illustrative only.

Human support is available. You can reach a member of our team at [email protected].

We are not liable for AI errors, missed messages, missed leads, incorrect bookings, or outcomes resulting from the automated nature of the Services.

9. Third-Party Services

The Services rely on third-party providers, including GoHighLevel. Your use of those services may be subject to their own terms. We are not responsible for third-party services, their availability, or their actions.

10. Service Changes and Availability

We may modify, add, or remove features of the Services at any time. We aim to keep the Services available but do not guarantee uninterrupted or error-free operation. Downtime may occur for maintenance, updates, or reasons beyond our control.

11. Suspension and Termination

By you. You may stop using the Services and cancel your subscription at any time, effective at the end of the current billing period.

By us. We may suspend or terminate your access, with or without notice, if you breach these Terms, fail to pay, misuse the Services, or create legal or security risk.

Effect of termination. On termination, your right to use the Services ends immediately. Fees already paid are non-refundable. Sections that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution) will continue to apply.

12. Disclaimer of Warranties

The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, error-free, or that they will meet your expectations or produce any particular result.

13. Limitation of Liability

To the fullest extent permitted by law:

We will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or related to the Services.

Our total liability for any claim arising out of or related to these Terms or the Services will not exceed the total amount you paid to us in the three (3) months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless Growth Forge AI and its owners, staff, and providers from any claims, damages, losses, or costs (including reasonable legal fees) arising from: (a) your use of the Services; (b) your Client Content; (c) your communications with your leads or customers; (d) your failure to obtain required consents; or (e) your violation of these Terms or any law, including TCPA and CAN-SPAM.

15. Dispute Resolution; Arbitration; Class-Action Waiver

Informal resolution first. Before filing any claim, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least thirty (30) days.

Binding arbitration. If the dispute is not resolved, it will be settled by binding arbitration rather than in court, except that either party may bring a claim in small-claims court where eligible. Arbitration will be conducted on an individual basis.

Class-action waiver. You and Growth Forge AI agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any class or representative action.

Governing law. These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules, except where mandatory local consumer-protection laws apply to you.

16. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date. Significant changes will be communicated through our website or by email. Your continued use of the Services after changes take effect means you accept the updated Terms.

17. General

Entire agreement. These Terms, together with your Order and our Privacy Policy, are the entire agreement between you and us.

Severability. If any provision is found unenforceable, the rest remain in effect.

No waiver. Our failure to enforce a provision is not a waiver of it.

Assignment. You may not assign these Terms without our consent; we may assign them as part of a business transfer.
